The engagement terms between ADZBE (ADZBE · KITROS INFOTECH) and our clients. These terms apply to every proposal, agreement and campaign we run, together with our Privacy Policy, Refund Policy and Disclaimer.

ADZBE · KITROS INFOTECH (ADZBE) is a proprietorship engaged in advertising, ad management and lead generation services, registered in Anantapuram, Andhra Pradesh, India. GSTIN: 37BAYPK4274M1ZQ. References to "we", "us" or "our" mean ADZBE; references to "you", "client" or "customer" mean the person or business engaging our services.
Our services include, but are not limited to: Google Ads, Meta Ads, ChatGPT Ads, JioHotstar Ads, LinkedIn Ads, Moj Ads and WhatsApp click-to-message campaign management; landing page builds; conversion rate optimization; AI-search visibility work; analytics and attribution setup; and related consulting. A written proposal, statement of work or order confirmation (each a "Proposal") defines the exact scope, deliverables and fee for your engagement. In the absence of a signed Proposal, any paid engagement is deemed accepted under these Terms.
Every engagement has a minimum working commitment of 3 months so campaigns have room to stabilise and compound. If your invoice is not paid by the due date, we may suspend all work (including active campaigns) until payment is received. Repeated or continued default after written notice may result in termination under Section 5. We may charge interest at 2% per month (24% per annum) on overdue amounts, together with reasonable collection costs. Suspension of services is not a cancellation of the engagement or of amounts due.
You agree to provide, in a timely manner: access to ad accounts, analytics, CRM and conversion tracking; truthful business information; the legal authority to advertise the products or services promoted; and approval of creative and budgets within agreed SLAs. Delays caused by missing client input do not extend our service obligations, but may extend the timeline of the engagement and do not reduce fees.
All media budgets are committed and paid directly by you to the platforms and are non-refundable once spent or committed by the platform's own billing cycle. We do not control, and are not liable for: platform pricing changes, policy enforcement, account suspensions, algorithm updates, bidding volatility, or reporting delays imposed by Google, Meta, LinkedIn or any platform. You agree to comply with every platform's terms and advertising policies. We are not responsible for any loss resulting from platform-imposed changes.
Each party will keep the other's non-public business information (including ad spend, margins, conversion data, pricing, and contact databases) confidential and will use it only to perform or receive the services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. We sign NDAs on request and give you read/write access to all ad accounts and analytics in line with our privacy commitments.
Except where a Proposal states a specific, contractually guaranteed metric and the conditions under which it applies, we do not and cannot guarantee ROAS, leads, sales, rankings, or any specific business outcome. Advertising results depend on factors outside our control, including ad spend, market conditions, competition, seasonality, offer quality and land. To the maximum extent permitted by law, our aggregate liability arising from any engagement (whether in contract, tort or otherwise) is limited to the total fees paid by you to us in the three (3) months preceding the claim. We are not liable for any indirect, incidental, special, consequential or punitive damages, including lost revenue, lost profits, lost data or loss of ad accounts, even if advised of the possibility of such damages. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
You agree to indemnify and hold ADZBE, its proprietor, team members and agents harmless from and against any claims, losses, expenses and liabilities arising from: (a) your products, services or claims advertised; (b) your breach of these Terms or applicable law; (c) any third-party claim relating to the content, assets or information you provide us; or (d) violations of any advertising platform policy through material you supplied.
Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, government action, war, terrorism, power or connectivity failure, platform outages, or public health emergencies. Obligations are suspended during the event and resume when it ends; if the event persists beyond 30 days, either party may terminate the affected engagement without further liability.
These Terms are governed by the laws of India. Any dispute arising from an engagement will be subject to the exclusive jurisdiction of the courts at Anantapuram, Andhra Pradesh (our registered place), and the parties will first attempt to resolve disputes amicably through good-faith negotiation for 30 days before any proceedings.
These Terms, together with the Proposal, Privacy Policy, Refund Policy and Disclaimer, form the entire agreement between us and supersede prior discussions. We may update these Terms from time to time; the version in force is the one published on this page at the time services are performed. If any provision is found unenforceable, the remaining provisions continue in full force. A party's failure to enforce a term is not a waiver of it. These Terms and the agreement are personal to you and may not be assigned without our written consent.
